Niloofar Zarei Henzaki is an associate attorney at Bergman and Allderdice representing national and international tax-exempt organizations, social enterprises, community development, financial institutions and community lenders. Her practice areas include nonprofit and for-profit formation, corporate governance, online fundraising and international grant making laws, real estate financing, economic and community development laws including New Market Tax Credit deals, and affordable housing transactions.
Niloofar received a Bachelor of Laws (LLB) from Shahid Beheshti University (f.k.a. National University) in Tehran, Iran (where she grew up). Pursuing her goal of becoming an international attorney she received her Master of Laws in International Business Law (LLM) from USC Gould School of Law in May 2018. While at school, Niloofar participated in several student associations such as Women’s Law Association and USC Gould Immigration Clinic, and also served on the board of the Gould Student Bar Association and the International Law and Relation Organization as LLM representative.

Niloofar is currently serving on the board of directors of Humanitarian Peace Foundation, a D.C. based nonprofit organization working with vulnerable groups to advocate for their rights and promote laws that protect victims of all forms of discrimination. She has also joined the LACBA’s Entrepreneurial Assistance Program for Veterans as a pro bono attorney.
Besides practicing law, Niloofar is a violinist, playing with the LA Lawyers Philharmonic Orchestra. She joined the Youth Chamber Orchestra of Tehran when she was 13. After moving to the US, she also played with the USC Chamber Orchestra, while a full-time student. She enjoys both performing and attending classical music concerts, traveling, and biking on the weekends.
